Important — read carefully before installing or using this Software.

This Software License Agreement (“Agreement”) is a legal agreement between you (“Customer,” “you,” or “your”) and 360opsAI LLC, a Florida limited liability company doing business as 360ops (“360ops,” “we,” “us”), for the use of the 360ops software platform — the 360ops Desktop privacy interface, 360ops Spartan local deployment, 360ops Portal cloud account UI, and all related components, documentation, updates, and services (the “Software”).

BY INSTALLING, ACTIVATING, ACCESSING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

// Section A · General terms (all products)

A.1 What 360ops is

The Software is an AI interface and privacy filter. It does not run AI models itself. It scrubs sensitive fields out of your prompts locally before forwarding to AI providers you authorize, and substitutes the original values back when replies return — using a scrub vault that lives only on your device.

A.2 License grant

Subject to this Agreement and payment of applicable fees, 360ops grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software for your own internal business or personal operations during your active subscription term.

A.3 Restrictions

You may NOT:

  1. Copy, modify, adapt, translate, or create derivative works of the Software;
  2. Reverse engineer, decompile, disassemble, or attempt to derive source code;
  3. Sell, resell, sublicense, rent, lease, or transfer the Software or license rights;
  4. White-label or rebrand the Software without a separate written agreement;
  5. Remove or obscure any proprietary notices or marks;
  6. Use the Software to build a competing product or service;
  7. Share your license key or account credentials with any third party;
  8. Use the Software for any unlawful purpose;
  9. Attempt to circumvent license validation, scrub enforcement, or security controls.

A.4 Ownership and intellectual property

The Software, including all source code, object code, architecture, design, scrub rules, gatekeeper logic, agent configurations, memory systems, interfaces, and documentation, is and remains the exclusive property of 360opsAI LLC. This Agreement does not transfer any ownership rights to you.

A.5 Customer data ownership

You retain all ownership rights to your data. 360ops does not claim ownership of any data you create, upload, or process using the Software. We don’t see your AI prompts or replies; we don’t see your scrub vault.

A.6 Subscription & payment

Pricing for current plans is published at 360ops.ai and is subject to change with 30 days’ notice. Subscriptions auto-renew each billing period unless cancelled before the renewal date in accordance with the cancellation terms posted with your plan. AI inference usage is metered against a prepaid balance; we will never bill more than your prepaid balance.

A.7 Non-payment & license enforcement

Grace period — read-only mode: If payment is not received by the due date, the Software enters read-only mode after 14 days. You can view your data and the agent will respond to existing queries; new write operations and automated actions are disabled.

Suspension: If payment is not received within 30 days of the due date, the Software fully suspends pending payment.

Data preservation: 360ops will NEVER delete, encrypt, hold hostage, or render inaccessible your customer data because of a payment dispute or license termination. Your scrub vault is on your device; we cannot reach it.

Reactivation: Upon receipt of outstanding payments, 360ops reactivates your license within 24 hours.

A.8 Term & termination

This Agreement begins on activation and continues month-to-month (or for the period of your annual plan if applicable). Either party may terminate upon 14 days’ written notice. Upon termination, your license ends and you must cease use. Customer data on your device is unaffected.

A.9 Warranties & disclaimers

360ops warrants that the Software will perform materially in accordance with its documentation for 90 days following initial activation. EXCEPT AS STATED HEREIN, THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. AI-GENERATED OUTPUTS DO NOT CONSTITUTE LEGAL, FINANCIAL, MEDICAL, OR PROFESSIONAL ADVICE.

A.10 Limitation of liability

IN NO EVENT WILL 360OPS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. 360OPS’S TOTAL LIABILITY WILL NOT EXCEED FEES YOU PAID 360OPS IN THE THREE MONTHS PRECEDING THE CLAIM.

A.11 Governing law

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles. Disputes shall be resolved by binding arbitration in Broward County, Florida under AAA Commercial Arbitration Rules.

// Section B · 360ops Spartan (local deployment)

B.1 What Spartan is

360ops Spartan runs entirely on physical hardware you own or control (“Box”). Scrubbing, redaction, scrub vault, agent memory, and (where your hardware allows) local AI inference all happen on your hardware.

B.2 Hardware binding

The Spartan license is bound to specific hardware units registered at activation. Each Box is identified by a hardware fingerprint (e.g. MAC + RAM signature). You may not operate Spartan on hardware exceeding your tier limit without prior written authorization.

B.3 Subscription pricing

Spartan tier pricing (boxes, users, included scrub volume) is published at 360ops.ai and is subject to change with 30 days’ notice.

B.4 License key

Your license key authenticates your Box with 360ops license servers. Do not share, publish, or transfer the key. If compromised, contact support@360ops.ai immediately.

B.5 Data sovereignty — Spartan

All your customer data — including data processed, stored, or generated by Spartan — resides exclusively on your hardware. 360ops has zero access to your customer data. The only information transmitted to 360ops servers is:

  • Your license key
  • A hardware fingerprint
  • Software version
  • Aggregate counts (active users, memory utilization, agent names)

No business data, AI conversations, financial records, customer or employee information, files, or content of any kind is transmitted.

B.6 Hardware transfer

If you replace or upgrade hardware, notify support@360ops.ai. We reissue your license binding within 2 business days.

B.7 Offline grace

If Spartan can’t reach 360ops license servers, it continues operating in offline grace mode. Spartan will not disable itself due to server unreachability.

// Section C · 360ops Desktop & Portal

C.1 360ops Desktop (Windows binary)

The 360ops Desktop is a Windows binary that runs locally on your machine. It performs scrubbing, holds the scrub vault, routes scrubbed AI traffic to the providers you authorize, and substitutes original values back into replies. It does not transmit your prompts or replies to 360ops servers.

C.2 360ops Portal (cloud account UI)

The Portal is a cloud-hosted web application for account management, billing, integrations, team administration, and module activation. The Portal does not handle AI prompts or replies. The privacy filter does not run in the Portal.

C.3 Cloud infrastructure

The Portal is hosted on US-based infrastructure under SOC 2-aligned vendors. Customer account data is encrypted in transit and at rest. 360ops does not sell your data and does not use your data to train AI models. The current sub-processor list is published and updated at 360ops.ai/security.

C.4 Account-based subscription

Portal access is account-based — there is no hardware binding. Your subscription grants access through any supported web browser. You are responsible for maintaining the security of your account credentials.

C.5 Uptime & maintenance

We use commercially reasonable efforts to maintain Portal availability. Planned maintenance is announced when feasible. The Portal is provided on a best-efforts basis without uptime guarantees during the v0.x.x prelaunch period.
